TERMS AND CONDITIONS – UNITED STATES

OVERVIEW
Welcome to Le Comptoir National.
The terms “we”, “us” and “our” refer to Le Comptoir National. Le Comptoir National operates this online store and website, including all related information, content, features, tools, products and services offered through it (collectively, the “Services”).
Le Comptoir National is established in Germany and uses Shopify to provide its ecommerce platform.
These Terms and Conditions, together with the policies referenced herein, govern your access to and use of the Services and purchases made through our United States storefront.
Please read these Terms carefully before using the Services or placing an order.
By accessing or using the Services, you agree to these Terms and to our applicable Privacy Policy. If you do not agree, you should not use the Services.
Nothing in these Terms limits any consumer right or remedy that cannot lawfully be waived under applicable federal or state law.
SECTION 1 – ACCESS AND ACCOUNT
By using the Services, you represent that you are at least the age of majority in your state of residence or that you are otherwise legally capable of entering into a binding agreement.
When using the Services or placing an order, you may be required to provide information including your name, e-mail address, billing information, payment information and shipping address.
You represent that the information you provide is accurate, current and complete and that you are authorized to provide and use such information.
You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.
You may not transfer, sell, assign or license your customer account to another person.
SECTION 2 – OUR PRODUCTS
We make reasonable efforts to display and describe our products as accurately as possible.
However, colors and appearance may vary depending on your screen, device settings, lighting and other technical factors.
Because our products include textiles and garments, minor variations in color, texture, finishing, embroidery, printing or measurements may occur and do not necessarily constitute defects.
Product descriptions, availability and specifications may be updated from time to time.
We reserve the right to discontinue products, limit available quantities or restrict sales by geographic region where reasonably necessary.
Nothing in this Section excludes warranties or consumer rights that apply under applicable law.
SECTION 3 – ORDERS
By submitting an order, you make an offer to purchase the products in your cart.
An order is accepted when Le Comptoir National confirms acceptance of the order and the applicable payment has been successfully authorized or processed.
We reserve the right to refuse or cancel an order where reasonably necessary, including in cases of:
- suspected fraud or unauthorized payment;
- incorrect pricing or product information;
- product unavailability;
- quantity limitations;
- shipping restrictions; or
- suspected purchase for unauthorized commercial resale.
If we cancel an order after payment has been taken, we will refund the applicable amount.
United States Final Sale Policy
Orders shipped to the United States are generally final sale.
Returns or exchanges for change of mind, incorrect size selection, fit preference, color preference or other personal reasons are not accepted.
Defective, damaged or incorrectly supplied products remain subject to the remedies described in our Returns, Refunds & Cancellations – United States policy and any rights available under applicable law.
Please review your order, product information and size selection carefully before completing your purchase.
Order Changes and Cancellations
Orders may enter processing shortly after they are placed.
If you notice an error, please contact support@lecomptoirnational.com as soon as possible.
We will try to assist where operationally possible, but we cannot guarantee that an accepted order can be changed or cancelled before shipment.
This restriction does not affect any cancellation or refund rights arising under applicable law, including where we are unable to ship an order within the required timeframe.
SECTION 4 – PRICING, CURRENCY, TAXES AND BILLING
Prices for the United States market are displayed in United States dollars (USD).
United States prices are regional retail prices established specifically for the U.S. market and are not necessarily direct currency conversions of prices offered in other countries.
Prices may be changed from time to time. The price applicable to your purchase will be the price displayed when your order is submitted, subject to correction of obvious pricing errors.
Unless expressly stated otherwise:
- product prices do not include shipping charges;
- product prices do not include customs duties or import taxes;
- product prices do not include applicable U.S. state or local sales tax.
These amounts, where applicable, are displayed separately during checkout.
Customs Duties and Import Taxes
Orders to the United States are shipped internationally from Germany.
Applicable customs duties and import taxes may be calculated and collected during checkout.
Where duties have been collected at checkout, we generally ship using a Delivered Duty Paid or Postal Delivered Duty Paid method so that the same duties should not be collected again from you upon delivery.

Sales Tax
Where Le Comptoir National is legally required to collect U.S. state or local sales tax, the applicable amount will be calculated and displayed during checkout.
Payment Information
You agree to provide accurate and current billing and payment information.
You represent that you are authorized to use the payment method submitted with your order.
Payments may be processed by Shopify and/or third-party payment providers.
SECTION 5 – SHIPPING AND DELIVERY
Orders are shipped from Germany.
Shipping charges, available methods, estimated processing times and estimated delivery times are described in our Shipping & Delivery – United States policy.
Delivery dates are estimates unless expressly stated otherwise.
International shipments may experience delays caused by customs processing, carriers, weather conditions, public holidays or other circumstances outside our reasonable control.
Delayed Shipment
We will comply with applicable U.S. requirements concerning shipment timing.
If we become unable to ship within the timeframe stated to you, or within the period required by applicable law where no timeframe was stated, we may contact you regarding the delay and, where required, provide you with the option to agree to the delay or cancel the affected order for a refund.
The FTC's Mail, Internet, or Telephone Order Merchandise Rule requires online sellers to have a reasonable basis for promised shipping times. If a seller cannot meet the promised time, the customer must generally be given the appropriate choice between accepting the delay and receiving a refund.
Risk of Loss
Responsibility for loss or damage during transportation will be determined in accordance with applicable law, the circumstances of the shipment and any applicable carrier arrangements.
Nothing in these Terms limits rights you may have where goods are lost, damaged or incorrectly delivered.
SECTION 6 – INTELLECTUAL PROPERTY
The Services and their original content, including our trademarks, logos, product designs, photographs, graphics, text, videos, audio, website layout and other materials created or owned by Le Comptoir National, are protected by applicable intellectual property laws.
You may use the Services only for lawful personal and non-commercial purposes.
Without our prior written authorization, you may not reproduce, distribute, modify, publish, commercially exploit or create derivative works from our protected materials except where permitted by applicable law.
The names Le Comptoir National, related logos, designs and brand identifiers are trademarks or other protected identifiers of Le Comptoir National.
Shopify and other third-party names, trademarks and logos belong to their respective owners.
No license or ownership right is granted to you except as expressly stated in these Terms.
SECTION 7 – OPTIONAL TOOLS
We may provide access to tools or services supplied by third parties.
Such third-party tools may be subject to their own terms and privacy policies.
To the extent permitted by applicable law, we are not responsible for third-party tools that we do not own, operate or control.
Your use of such tools is voluntary and at your own discretion.
New tools, features or resources added to the Services may also be subject to these Terms.
SECTION 8 – THIRD-PARTY LINKS
The Services may contain links to third-party websites or services.
Le Comptoir National does not control such third-party websites and is not responsible for their content, availability, privacy practices or terms.
If you access a third-party website, you do so subject to that third party’s terms and policies.
Nothing in this Section limits any liability that cannot lawfully be excluded.
SECTION 9 – RELATIONSHIP WITH SHOPIFY
Le Comptoir National uses Shopify to provide the ecommerce infrastructure supporting the Services.
All purchases made through our store are entered into directly between you and Le Comptoir National.
Shopify is not the seller of Le Comptoir National products and is not responsible for the manufacture, description, fulfillment, delivery or quality of products sold by Le Comptoir National.
To the fullest extent permitted by applicable law, Shopify and its affiliates are not responsible for claims arising solely from the products purchased from Le Comptoir National.
Nothing in this Section limits any rights you may have directly against Shopify where Shopify is independently responsible under applicable law.
SECTION 10 – PRIVACY
Personal information processed in connection with the Services is handled in accordance with our Privacy Policy – United States.
Certain information is also processed by Shopify in accordance with Shopify’s own privacy documentation.
Our Privacy Policy explains how personal information may be collected, used, disclosed and transferred, as well as the privacy rights available to eligible U.S. residents.
SECTION 11 – REVIEWS, FEEDBACK AND USER CONTENT
If you voluntarily submit reviews, photographs, comments, suggestions or other content to Le Comptoir National, you confirm that you have the right to submit that content.
You grant Le Comptoir National a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute and adapt such content for purposes connected with operating, improving and promoting our business and Services.
This license does not transfer ownership of your content to Le Comptoir National.
Where required by law, we will respect applicable rights relating to your name, image, privacy and personal information.
You must not submit content that:
- violates third-party intellectual property rights;
- is defamatory or unlawful;
- contains malicious software;
- falsely impersonates another person; or
- contains information that you are not authorized to disclose.
We may moderate or remove content where reasonably necessary.
SECTION 12 – ERRORS, INACCURACIES AND OMISSIONS
Information on the Services may occasionally contain typographical errors, inaccuracies or omissions concerning products, prices, promotions, shipping charges, delivery estimates or availability.
We may correct errors and update information where reasonably necessary.
If an error materially affects an order you have already placed, we will take appropriate action, which may include contacting you, cancelling the affected item or order and issuing an applicable refund.
SECTION 13 – PROHIBITED USES
You may use the Services only for lawful purposes.
You may not use the Services to:
- violate applicable laws or regulations;
- infringe intellectual property or privacy rights;
- engage in fraud or deception;
- harass, threaten or harm another person;
- transmit viruses or malicious code;
- interfere with the security or proper functioning of the Services;
- scrape or collect personal information unlawfully;
- impersonate another person;
- send unauthorized spam or malicious communications; or
- use the Services for unauthorized commercial resale or fraudulent activity.
We may suspend or restrict access where we reasonably believe these Terms have been materially violated.
SECTION 14 – TERMINATION
You may stop using the Services at any time.
We may suspend or terminate access to the Services where reasonably necessary, including for material violations of these Terms, fraud, abuse or security reasons.
Termination does not affect rights, payment obligations or liabilities that arose before termination.
Provisions that by their nature should survive termination will remain effective.
SECTION 15 – WARRANTIES
We make reasonable efforts to provide accurate information and properly functioning Services.
However, website availability, content and functionality may occasionally be interrupted or contain errors.
To the fullest extent permitted by applicable law, the website and its digital functionality are provided on an “as available” basis.
Product Warranties and Consumer Rights
Nothing in these Terms excludes or limits any express or implied warranty, product liability right or consumer protection that cannot lawfully be excluded.
Applicable U.S. state law may provide implied warranties, including warranties of merchantability or fitness for a particular purpose.
Any disclaimer or limitation applies only to the extent permitted by applicable law.
This wording is important because federal warranty law and state law can restrict a seller's ability to disclaim implied warranties, particularly where a written warranty is offered.
SECTION 16 – LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Le Comptoir National will not be liable for indirect, incidental, special, exemplary or consequential losses arising from use of the Services where such liability may lawfully be excluded.
Nothing in these Terms excludes or limits liability for:
- fraud or fraudulent misrepresentation;
- willful misconduct;
- personal injury or death where liability cannot lawfully be excluded;
- defective products where liability is imposed by applicable law;
- violation of non-waivable consumer rights; or
- any other liability that cannot legally be limited or excluded.
Where permitted by law, our aggregate liability relating to an individual purchase will not exceed the amount paid by you for the product or order giving rise to the claim, except where applicable law requires otherwise.
SECTION 17 – INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify Le Comptoir National against third-party claims arising directly from your:
- unlawful use of the Services;
- intentional infringement of third-party rights;
- fraudulent activity; or
- material breach of these Terms.
This Section does not require you to indemnify Le Comptoir National for claims arising from our own negligence, unlawful conduct, defective products or breach of applicable consumer law.
SECTION 18 – SEVERABILITY
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.
The remaining provisions will remain in effect.
SECTION 19 – WAIVER AND ENTIRE AGREEMENT
A failure by either party to enforce a provision of these Terms does not constitute a waiver of that provision.
These Terms, together with the policies expressly incorporated into them, constitute the agreement governing use of the Services and purchases made through our United States store.
Nothing in this Section excludes representations or rights that cannot legally be excluded.
SECTION 20 – ASSIGNMENT
You may not assign contractual rights or obligations under these Terms without our prior consent where such consent may lawfully be required.
We may assign or transfer our rights and obligations in connection with a sale, reorganization or transfer of our business, provided this does not reduce mandatory consumer rights.
SECTION 21 – GOVERNING LAW AND CONSUMER RIGHTS
These Terms and contracts entered into with Le Comptoir National are generally governed by the laws of Germany, where Le Comptoir National is established, without regard to conflict-of-law principles.
However, this choice of law does not deprive you of mandatory consumer protection rights that apply to you under applicable United States federal law or the law of your state of residence and that cannot lawfully be waived by contract.
Nothing in these Terms requires a consumer to waive access to any court or remedy that must remain available under applicable law.
SECTION 22 – HEADINGS
Section headings are provided for convenience only and do not affect the interpretation of these Terms.
SECTION 23 – CHANGES TO THESE TERMS
We may update these Terms to reflect changes to our Services, business practices or legal requirements.
The current version will be published on our website together with its effective or last-updated date.
Changes will not retroactively alter an order already accepted unless required by applicable law or expressly agreed with you.
Where legally required, we will provide additional notice of material changes.
